The Shell Advantage Rewards Program (“SHARE Program”) jointly organized by Shell Vietnam (collectively referred to as “Shell”) is made available to you subject to the SHARE Program General Terms and Conditions as stated below. Without limitation, registering and signing up for the SHARE Program with the relevant SHARE Profile, accessing the SHARE Program Website and/or downloading/using the SHARE Mobile Application shall signify your acceptance of the SHARE Program General Terms and Conditions, the SHARE Program Privacy Policy and the SHARE Program Benefits Terms and Conditions (collectively referred to as “SHARE Program Terms and Conditions”). Participation in the SHARE Program is at your absolute option and risk, and in no event shall Shell be liable for any loss or damages including without limitations, loss of income, profits or goodwill, direct or indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties howsoever arising whether in contract, tort, negligence or otherwise, in connection with the SHARE Program, even if Shell has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. The SHARE Program is open only to the following categories of persons in VietNam who shall be collectively referred to as eligible SHARE Participants: all Authorized Shell Lubricants Distributors; all Sales Representatives of Authorized Shell Lubricants Distributors; all Shell Branded Workshops; all Independent Workshops; all Owners Shell Branded Workshops and Independent Workshops; all Mechanics lawfully employed at Shell Branded Workshops and Independent Workshops; all End Customers who buy and use selected genuine Shell Lubricants products by Shell for oil changes at Shell Branded Workshops or Independent Workshops; and all End Customers who buy selected genuine Shell Lubricants products by Shell from Shell Petrol Station Retailers. SHARE Participants who are corporations, partnerships, enterprises and sole proprietors must be lawfully incorporated in accordance with Vietnam laws. The following categories of persons shall not be accepted as eligible SHARE Participants: service providers engaged by Shell and its Affiliates (including but not limited to advertising agencies, promotion agencies, printing companies and event management agencies); and their permanent and/or contract employees (“Employees”) and the Employees’ immediate family members i.e. spouses, children, parents, brothers and sisters (“Immediate Family Members”). fulfil the relevant stated criteria to enjoy the corresponding relevant stated SHARE Benefit as stated in the SHARE Program Benefits Terms and Conditions. By registering and signing up for the SHARE Program with the relevant SHARE Profile, accessing the SHARE Program Website and/or downloading/using the SHARE Mobile Application, the SHARE Participants expressly agree and consent to: successfully register themselves under the relevant SHARE Profile via the SHARE Program Website or SHARE Program Mobile Application using a Vietnam mobile phone number; and fulfil the relevant stated criteria to enjoy the corresponding relevant stated SHARE Benefit as stated in the SHARE Program Benefits Terms and Conditions. By registering and signing up for the SHARE Program with the relevant SHARE Profile, accessing the SHARE Program Website and/or downloading/using the SHARE Mobile Application, the SHARE Participants expressly agree and consent to: participate in the SHARE Program and be bound by the SHARE Program Terms and Conditions including all Shell’s decisions in relation to the SHARE Program; allow Shell, its Affiliates and its agencies to process and disclose to any third party, all Personal Data of the SHARE Participants provided by the SHARE Participants for the SHARE Program for any and all purposes in relation to the SHARE Program and any and all other activity relating to or arising from the course of business or businesses of Shell and its Affiliates; allow Shell to collect, use, disclose and share amongst themselves and their respective service providers, the SHARE Participants’ Personal Data, including the photographs or audio-video or other recordings of the SHARE Participants for publicity and/or use in advertisements across all media, in its original or edited format, and whether to promote the SHARE Program or otherwise without further notification, remuneration or compensation; and authorize Shell to process the SHARE Participants’ Personal Data provided pursuant to the SHARE Program in accordance to the SHARE Program Privacy Policy which forms an integral part of the SHARE Program General Terms and Conditions. All Shell’s decision on all matters including but not limited to the eligibility of the SHARE Participants, the mechanics for the SHARE Benefits or in the event of any dispute shall be final and binding and no correspondence or appeals shall be entertained. Shell reserves the right to cancel, terminate or suspend the SHARE Program with or without any prior notice. For the avoidance of doubt, cancellation, termination or suspension by Shell of the SHARE Program shall not entitle any party to any claim or compensation against Shell for any and all losses or damage suffered or incurred by any party as a direct or indirect result of the act of cancellation, termination or suspension. All SHARE Participants shall be personally responsible for all taxes, rates, government fees or any other charges that may be levied against them under applicable laws, if any, in relation to the SHARE Program. Shell reserves the right at its absolute discretion to amend, delete or add to any of the SHARE Program Terms and Conditions from time to time without prior notice. The SHARE Program Terms and Conditions, as the same may be amended from time to time, shall prevail over any provisions or representations contained in any other promotional material advertising the SHARE Program.
